Fairfax Financial Holdings intends to merge IDBI Bank, Digit Insurance, and IIFL Capital into one financial services company, with the goal of establishing a prominent Indian bank that provides a comprehensive range of banking, insurance, investment banking, and wealth management services, stated its chairman and CEO Prem Watsa.

The proposal comes after the Indian government sanctioned Fairfax as the strategic purchaser for a 60.72 percent share in IDBI Bank for ₹52,878 crore, representing a significant advancement in the protracted privatization of the bank.

The suggested acquisition, together with Digit and IIFL Capital's involvement with the bank, is contingent upon final agreements and regulatory clearance.

"We are dedicated to creating the world's best financial institution from India," Watsa stated in a release from Fairfax Financial Holdings and Fairfax India Holdings Corporation.

“By merging IDBI Bank, Digit, and IIFL Capital, a strong entity would emerge, poised to engage in the ongoing growth and prosperity of Indian markets,” Watsa stated, noting that the suggested merger would deliver substantial advantages to Indian consumers and businesses.

Fairfax intends to transfer its stakes in Go Digit Life Insurance and Go Digit General Insurance, jointly known as Digit, along with Fairfax India’s stake in IIFL Capital Services, to IDBI Bank.

Fairfax is confident that the unified platform could enhance access to financial services and products in India, where it identifies significant potential for growth in bank deposits, credit, and wealth management

The assets will be provided at their corresponding market values, in compliance with relevant laws and regulations.
